MINIMAXMOD SOFTWARE END USER LICENSE AGREEMENT



Read the following text carefully before using the software.

By installing the MiniMaxMod Software you acknowledge that you have fully ready and understood this End-User License Agreement.

This End-User License Agreement ("EULA" or "Agreement") is a legally binding agreement between YOU and the author (referred to as "MINIMAXMOD.COM") of MINIMAXMOD software (referred to as "Software") applicable to your license purchase and the USE of the Software. BY INSTALLING MINIMAXMOD SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT.

"YOU" means the end user of the Software, the company, entity or individual whose funds are used to pay the license fee. "USE" means storing, loading, installing, executing, uninstalling or displaying the Software. This license is not transferable to any other hardware product or other company, entity, or individual. If you do not agree to be bound by the terms of this Agreement do not download, install, or use the Software.

AGREEMENT



For purposes of this Agreement, the Software includes any updates, enhancements, modifications, revisions, or additions to the Software made by MINIMAXMOD.COM. As such, this Agreement shall also apply to any and all updates, supplements, add-on components of the Software that MINIMAXMOD.COM may provide to YOU or make available to YOU after the date YOU obtain YOUR initial copy of the Software, unless MINIMAXMOD.COM provides other terms along with the update, supplement or add-on component.

Notwithstanding the foregoing, MINIMAXMOD.COM shall be under no obligation to provide any updates, enhancements, modifications, revisions, or additions to the Software.

Any rights in the Software not expressly granted in this Agreement are reserved by MINIMAXMOD.COM.

Grant of License


MINIMAXMOD.COM grants you a limited, non-exclusive license to download, install, back-up, and use the Software, including any accompanying files subject to the following terms:

  1. This EULA is not a sale of the Software. Except for the license rights expressly granted to you herein, you will have no right, title or interest in the Software.
  2. The Software license established by this Agreement grants YOU the right to install the Software on two (2) desktop or laptop personal computers owned and used by YOU.
  3. All copyright and proprietary notices or labels are maintained on the Software in their original format.
  4. You possess the necessary authority and power to install the Software on the computers.
  5. You agree to be bound by and use the Software only in accordance with the terms of this Agreement.
  6. You may only use the Software in a manner that complies with all applicable laws in the countries in which you use it, including restrictions concerning copyright and encryption.
  7. You are not permitted to assign any or all of your obligations or rights under this EULA without our express prior consent.
  8. You will not sub-license, transfer, pledge, sell, lend, or otherwise dispose of the content, or any part of it, or share your rights under this EULA, with others. You will not give others access to your username and password, nor share any registration code(s) you receive. Any files accompanying the Software containing graphical (images) and sonical (sounds) information may not be sold or redistributed by YOU.

Ownership


The Software is being licensed, not sold, and MINIMAXMOD.COM expressly reserves and maintains at all times all ownership rights in and to the Software, including any intellectual property rights therein. This Agreement shall not be construed to grant any ownership rights in the Software to you, but shall only give you a limited license to use the Software until this Agreement is terminated. You acknowledge that the Software, including all intellectual property rights under copyright, trade secret, patent, or trademark laws, is owned by MINIMAXMOD.COM and/or its licensors. MINIMAXMOD.COM may pursue all legal remedies if you use the Software in violation of this Agreement.

You acknowledge that if you use the Software in violation of this Agreement (including, without limitation, by copying, distributing or making derivatives of the Software), you may be subject to CRIMINAL AND/OR CIVIL FINES AND PENALTIES under all applicable laws.

Copyright


The Software contains material that is protected by intellectual property laws, including copyright, trade secret and patent law, as well as by international laws and treaty provisions. All rights not granted to you herein are expressly reserved by MINIMAXMOD.COM. You may not remove any copyright or other proprietary notice of MINIMAXMOD.COM from any copy of the Software. Any files accompanying the Software containing graphical (images) and sonical (sounds) information may not be sold or redistributed without the written authorization of MINIMAXMOD.COM.

Limited warranty


MINIMAXMOD.COM warrants that the Software, if operated as detailed in the related documentation available at www.minimaxmod.com, will perform substantially in accordance with the described product specifications on www.minimaxmod.com for a period of 21 days from the date of your acceptance of this EULA. MINIMAXMOD.COM does not warrant that your use of the Software will be free from interruptions or error free.

This limited warranty does not apply when MINIMAXMOD software is used in conjunction with a version of ipoker client different to the version installed on YOUR personal computer at the date of acceptance of this EULA. If the version referred to in the previous sentence is not known or cannot be proven to be correct, the version number of the ipoker software publicly available for download at the website of the ipoker skin in question will be used. This means that MINIMAXMOD.COM will not issue any refunds should functionality of the Software be affected by any future updates or modifications applied to the ipoker client by iPoker Network, Playtech or any other parties.

NO OTHER WARRANTIES. ALL CONTENT IS PROVIDED "AS IS" AND, AS FAR AS IT IS LEGALLY PERMITTED TO DO SO, MINIMAXMOD.COM DISCLAIMS ALL OTHER WARRANTIES, EITHER EXPRESS OR IMPLIED, WITH RESPECT TO THE SOFTWARE AND RELATED WRITTEN MATERIALS, INCLUDING, BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, WARRANTIES THAT THE SOFTWARE IS FREE OF DEFECTS, WARRANTIES OF SATISFACTORY QUALITY, WARRANTIES OF NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE. THIS DISCLAIMER OF WARRANTY CONSTITUTES AN ESSENTIAL PART OF THIS EULA. NO USE OF THE SOFTWARE IS AUTHORIZED EXCEPT UNDER THE TERMS OF THIS EULA.

NO LIABILITY FOR CONSEQUENTIAL DAMAGES. IN NO EVENT SHALL MINIMAXMOD.COM OR ITS SUPPLIERS, VENDORS, PARTNERS OR CO-VENTURERS BE LIABLE FOR ANY DAMAGE WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR THE LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF INFORMATION, OR OTHER PECUNIARY LOSS AS WELL AS ANY LOSSES INCURRED IN THE COURSE OF A POKER GAME OR BASED UPON ANY USE OF THE SOFTWARE) ARISING OUT OF THE USE OR INABILITY TO USE THIS SOFTWARE, EVEN IF MINIMAXMOD.COM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Severability


If the whole or any part of any provision of this EULA is determined to be invalid or unenforceable then such provision or part thereof shall be severed from the body of this EULA which shall continue to be valid and enforceable to the fullest extent permitted by law.

Privacy


Upon your purchase of a license MINIMAXMOD.COM collects your Registration Information. Registration Information consists of your name, your email and your machine ID(s)

MINIMAXMOD.COM will never provide this personal information to third parties.

MINIMAXMOD.COM will never sell this personal information to third parties.

Entire agreement


This EULA constitutes the complete and entire understanding and agreement between you and MINIMAXMOD.COM and supersedes all prior communications, representations, agreements, negotiations or understandings with respect thereto, whether oral or in writing. This EULA may not be modified or amended orally, impliedly, or in any manner not set forth in writing or permitted by this EULA. This EULA may be amended by us at any time and without notice, but only by amending this EULA as posted on this website, unless otherwise agreed to in a writing signed by both of us.

Any amendment of this Agreement will be reflected in future versions and/or builds of MINIMAXMOD Software and is applicable to YOU. YOU are expected to review the Agreement when installing a new version or build to obtain notice of any changes. Continued use of the Software constitutes acceptance of MINIMAXMOD Software's then-current Agreement available at www.minimaxmod.com
